1. Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "Customer") and NexelioFlow Inc., a Delaware corporation with offices at 8th Ave W, Birmingham, AL 35204, USA ("NexelioFlow", "we", "us"). By creating an account, purchasing credits, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms together with the Privacy Policy and Acceptable Use Policy, which are incorporated by reference.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you must not accept them and may not use the Service.
2. Description of the Service
NexelioFlow is a pay-as-you-go, AI-assisted brand identity platform. The Service generates a complete brand system from a structured brief, including a primary logo and lock-ups, a color palette with semantic tokens, a typography pair with type scale, a social media kit, and a downloadable brand guidelines document in PDF format.
All generation, refinement, and download functionality is delivered through the customer dashboard at app.nexelioflow.com. The Service does not include human creative direction, trademark clearance, legal review, or printing services unless explicitly purchased as a separate add-on.
3. Accounts and Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. One natural person or legal entity may operate one account; sharing credentials between unrelated parties is prohibited and may trigger suspension under Section 10.
- Provide accurate, current, and complete registration information and keep it up to date.
- Safeguard your password and any API keys; you are responsible for all activity occurring under your account.
- Notify us promptly at security@nexelioflow.com of any suspected unauthorized access.
- Do not impersonate any person or entity, or misrepresent your affiliation with any organization.
4. Credits, Pricing and Payments
The Service operates on non-expiring credits purchased in advance. One (1) credit unlocks one (1) complete brand generation including unlimited in-session refinements on the same brief. Credits are personal to your account and are not transferable, exchangeable for cash, or redeemable outside the Service.
Prices are displayed in euros (EUR) at checkout and are exclusive of taxes unless stated otherwise. EU customers are charged VAT at the rate applicable to their place of supply; business customers may provide a validated VAT identification number to apply the reverse-charge mechanism where eligible. Payments are processed by Stripe Payments Europe, Ltd., and by submitting payment information you authorize the charge of the displayed amount.
5. License to Generated Content
Subject to your continued compliance with these Terms and full payment of the applicable credit, NexelioFlow grants you a worldwide, perpetual, irrevocable, royalty-free, exclusive license to reproduce, modify, distribute, publicly display, and create derivative works of the assets generated for your project, for both commercial and non-commercial purposes.
Notwithstanding the foregoing, you acknowledge that AI-generated marks may resemble pre-existing works. The license granted by NexelioFlow does not constitute a warranty of trademark availability, copyright clearance, or non-infringement, and you are solely responsible for conducting an independent trademark search before commercial deployment of any mark.
6. Acceptable Use
You agree not to use the Service to generate, upload, or distribute content that violates the Acceptable Use Policy. We reserve the right, but have no obligation, to monitor briefs and outputs for compliance and to remove content or suspend accounts in response to violations.
7. Intellectual Property of the Platform
The Service, including the underlying software, machine-learning models, training pipelines, prompt templates, dashboard interface, NexelioFlow word mark, and logo, remains the exclusive property of NexelioFlow and its licensors. Nothing in these Terms transfers ownership of the platform to you. You may not copy, reverse engineer, decompile, or attempt to extract the source code or model weights, except to the extent such restriction is prohibited by applicable law.
8. Confidentiality and Briefs
Briefs you submit are treated as Customer Confidential Information. We use them only to provide and improve the Service, and we do not include identifiable briefs in any public training corpus. Aggregate, de-identified usage statistics may be used to improve model quality, as further described in the Privacy Policy.
9. Term and Termination
These Terms remain in force while you maintain an account. You may close your account at any time from the dashboard; closure does not entitle you to a refund of unused credits except where required by law. We may suspend or terminate access immediately for material breach, fraud, chargebacks, or risk to the security or integrity of the Service. Upon termination, Sections 5 (License to Generated Content), 7, 11, 12, 13, and 14 survive.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. No statement made by any NexelioFlow representative shall create a warranty not expressly stated herein.
11. Limitation of Liability
To the maximum extent permitted by applicable law, NexelioFlow, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business opportunity, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) one hundred euros (€100) or (b) the amounts paid by you to NexelioFlow in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless NexelioFlow from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your briefs and outputs, your violation of these Terms, or your infringement of any third-party right.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Alabama, USA, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the state and federal courts located in Jefferson County, Alabama, unless mandatory consumer protection law in your country of residence provides otherwise.
14. Changes and Notices
We may amend these Terms by posting an updated version on the website and indicating the new effective date. Material changes will be notified by email at least fifteen (15) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. Notices to NexelioFlow must be sent to legal@nexelioflow.com with a copy to our registered address.
15. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. No waiver shall be implied from any failure to enforce a right. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and NexelioFlow with respect to the Service and supersede all prior or contemporaneous communications.
